Service Provider Agreement
IMPORTANT: This Agreement governs the relationship between AssemblyNearMe ("Platform") and independent service providers ("Providers"). By registering as a Provider, you agree to be bound by these terms.

Effective Date: Upon Provider registration and acceptance
1. Parties to Agreement
AssemblyNearMe ("Platform," "we," "us," or "our"): A technology platform connecting customers with assembly service providers.
Service Provider ("Provider," "you," or "your"): An independent contractor providing assembly services through the Platform.
2. Independent Contractor Relationship
2.1 Status: You are an independent contractor, not an employee, partner, agent, or joint venturer of AssemblyNearMe. This Agreement does not create an employment relationship.
2.2 Control: You have complete discretion over how to perform assembly services, subject to customer requirements and quality standards.
2.3 Tools & Equipment: You provide your own tools, equipment, and transportation. AssemblyNearMe does not provide tools, uniforms, or equipment.
2.4 Taxes: You are responsible for all taxes, including self-employment taxes. No taxes are withheld from your payments.
3. Provider Requirements
3.1 Qualifications: You must:
- Have minimum 1 year assembly experience
- Own appropriate assembly tools
- Have valid driver's license and reliable transportation
- Pass background check (where required)
- Maintain professional appearance and conduct
3.2 Insurance: You are encouraged to maintain general liability insurance of at least $1,000,000. AssemblyNearMe maintains platform liability insurance but does not cover your independent work.
3.3 Background Check: You authorize us to conduct background checks. Convictions may result in account termination.
4. Service Performance
4.1 Quality Standards: You agree to:
- Perform services with professional skill and care
- Arrive on time for scheduled appointments
- Complete work within estimated time frame
- Clean up work area after completion
- Treat customer property with care
- Comply with all applicable laws and regulations
4.2 Customer Interaction: You must:
- Communicate professionally with customers
- Respect customer property and privacy
- Report any issues or disputes immediately
- Never solicit customers outside the Platform
5. Platform Services
5.1 Matching Services: We provide:
- Customer lead generation and matching
- Job scheduling and calendar management
- Payment processing and collection
- Customer support and dispute resolution
- Marketing and platform maintenance
5.2 Platform Fee: We charge a service fee of 15-20% of each job's total price. This fee covers platform services, payment processing, and support.
6. Payment Terms
6.1 Payment Structure:
- Customer pays Platform for services
- Payment held until job completion and customer approval
- Platform deducts service fee and processes payment to you
- Payments processed weekly via direct deposit or preferred method
6.2 Payment Schedule: Payments are processed every Tuesday for jobs completed and approved the previous week (Monday-Sunday).
6.3 Minimum Payout: Minimum $50 balance required for payout. Balances below $50 roll over to next payment cycle.
7. Job Acceptance & Cancellation
7.1 Job Acceptance: You may accept or decline job requests. Repeated declines may affect your matching priority.
7.2 Cancellation Policy:
- Provider Cancellation: Provide at least 24 hours notice when possible. Repeated cancellations may result in account suspension.
- Customer Cancellation: If customer cancels less than 24 hours before appointment, you may receive a cancellation fee.
- No-Show: If customer is not available at scheduled time, you may charge a no-show fee after waiting 30 minutes.
8. Intellectual Property
8.1 Platform IP: All Platform technology, trademarks, and content are owned by AssemblyNearMe.
8.2 Non-Competition: During this Agreement and for 12 months after termination, you will not:
- Solicit customers obtained through Platform for direct business
- Work for competing assembly marketplace platforms
- Use Platform customer data for any purpose
9. Liability & Insurance
9.1 Provider Liability: You are solely liable for:
- Property damage caused during assembly
- Personal injury occurring during service
- Errors or omissions in assembly work
- Violation of laws or regulations
9.2 Indemnification: You agree to indemnify and hold AssemblyNearMe harmless from any claims arising from your services.
9.3 Limitation of Liability: AssemblyNearMe's maximum liability is limited to fees paid for the specific service in question.
10. Confidentiality
You agree to keep confidential:
- Customer personal information
- Platform business processes and technology
- Pricing and commission structures
- Any proprietary information shared with you
11. Termination
11.1 Termination by Provider: You may terminate this Agreement with 30 days written notice.
11.2 Termination by Platform: We may terminate immediately for:
- Violation of this Agreement
- Poor performance or customer complaints
- Failure to pass background check
- Unprofessional conduct
- Fraud or illegal activity
11.3 Effect of Termination: Upon termination:
- All pending payments will be processed
- You must return any Platform materials
- Confidentiality obligations continue
- Non-compete provisions remain in effect
12. Dispute Resolution
12.1 Informal Resolution: Disputes should first be attempted to be resolved through Platform support.
12.2 Arbitration: Any unresolved disputes shall be settled by binding arbitration in [Your County], [Your State].
12.3 Governing Law: This Agreement is governed by the laws of [Your State].
13. Miscellaneous
13.1 Entire Agreement: This constitutes the complete agreement between parties.
13.2 Amendments: We may update this Agreement with 30 days notice.
13.3 Severability: If any provision is invalid, remaining provisions remain in effect.
13.4 Notice: Notices may be sent via email or Platform notification.
Acceptance of Agreement
By registering as a Service Provider on AssemblyNearMe, you acknowledge that you have read, understood, and agree to be bound by this Service Provider Agreement.
